Terms of Service
The terms that govern your use of the CourseFPX study platform.
1. Agreement to these Terms
These Terms of Service (“Terms”) form a legal agreement between you (“you,” “Subscriber,” or “user”) and Course FPX LLC (“CourseFPX,” “we,” “us,” or “our”), a limited liability company formed in the State of Wyoming, United States. They govern your access to and use of https://www.coursefpx.co and the CourseFPX study platform, software, tools, content, and related services (together, the “Service”).
By creating an account, subscribing, or using the Service, you agree to these Terms, our Privacy Policy, Acceptable Use Policy, SMS Terms, Refund & Cancellation Policy, and Disclaimer, which are incorporated by reference. If you do not agree, do not use the Service.
2. What CourseFPX is
CourseFPX is self-serve subscription software — a study platform and learning toolkit. It gives you a study dashboard and progress tracker, a study-guide and resource library, practice questions and self-quizzes, APA and citation tools, a deadline planner, and a draft-feedback, writing-coaching, and optional tutor-connect workflow — for self-paced learners taking Capella University FlexPath (FPX) courses, including NURS FPX nursing tracks.
Use the Service to support your own learning. You are responsible for your own work and for complying with your school’s academic-integrity policies and honor code.
CourseFPX is an independent product. It is not affiliated with, endorsed by, or sponsored by Capella University or any school. “Capella,” “FlexPath,” “FPX,” and “NURS FPX” are third-party marks owned by their respective owners and are used here nominatively only, to describe the courses our tools are compatible with. 3. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate registration information and to keep it current. You are responsible for safeguarding your login credentials and for all activity under your account; notify us promptly at contact@coursefpx.com of any unauthorized use. Accounts are personal to you and may not be shared, sold, or transferred, except under a Programs & Groups arrangement we set up for you.
4. SMS / text messaging
If you provide a mobile number and opt in, Course FPX LLC may send you SMS text messages — for example, account notifications, support replies, study and deadline reminders, and tutor-session confirmations. Our SMS program is opt-in only. You consent by checking the unchecked consent box on our contact form (or by texting us first), and consent is never a condition of purchase or of using the Service.
Message frequency varies, and message and data rates may apply. Reply STOP at any time to unsubscribe and HELP for help; we honor STOP requests promptly. We never sell or share your mobile information with third parties or affiliates for their marketing. Our messaging program is operated consistent with the U.S. Telephone Consumer Protection Act (TCPA) and carrier A2P 10DLC registration requirements.

5. Academic integrity
Use the Service to support your own learning. You are responsible for your own work and for complying with your school’s academic-integrity policies, honor code, syllabus rules, and any course requirements. Where you draw on a source you found through the Service, research, verify, and cite it yourself in accordance with your assignment requirements.
CourseFPX is not a party to, and has no control over, your relationship with your school. You alone are responsible for how you use what you learn, and for any academic consequences of your own conduct. We may suspend or terminate accounts used in violation of any school’s policies, as described in our Acceptable Use Policy.
6. License to use the Service
Subject to these Terms and your active subscription, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service and its content for your own personal, non-commercial study and learning. All rights not expressly granted are reserved.
The license is conditioned on your compliance with these Terms and the Acceptable Use Policy. It ends automatically when your subscription ends or your account is terminated.
7. Subscriptions, billing, and renewals
CourseFPX is offered as a self-serve subscription. Current plan details and the tools each plan includes are shown inside the Service before you subscribe; for this reason we do not publish a price list on the site. By subscribing, you authorize us and our payment processor to charge your selected payment method for the plan you choose.
- Payment processing. Subscriptions are billed in U.S. dollars (USD) through our payment processor, Stripe, Inc., and are subject to Stripe’s terms. Card details are collected and processed directly by Stripe (a PCI-DSS Level 1 certified processor); we do not receive or store full card numbers.
- Automatic renewal. Unless stated otherwise for your plan, subscriptions renew automatically at the end of each billing cycle (for example, monthly) at the then-current rate, until you cancel. You authorize recurring charges until you cancel.
- Cancellation. You may cancel at any time from your account; cancellation stops future renewals and takes effect at the end of the current paid cycle. See our Refund & Cancellation Policy for full billing, cancellation, and refund terms.
- Price changes. We may change plan pricing or features; we will give reasonable advance notice, and changes apply to your next billing cycle. Continuing after a change takes effect means you accept it.
- Taxes. Fees are exclusive of applicable taxes unless stated; you are responsible for any sales, use, or similar taxes other than taxes on our income.
8. Fair use of tools
Some features — for example, draft feedback, coaching, and tutor-connect scheduling — are subject to reasonable, plan-based fair-use limits so the Service stays available and affordable for everyone. We may describe these limits in the Service and may apply rate limits or queueing. We may also suspend or limit features that are used in a way that is abusive, automated, or inconsistent with personal study use or these Terms.
9. Your content
You own your content. Drafts, notes, source lists, study data, and other materials you upload or create in the Service (“Your Content”) remain yours. You grant us a limited, worldwide, non-exclusive license to host, process, display, and transmit Your Content solely to operate and provide the Service to you (for example, to store your drafts and return coaching and feedback on them), and as needed for security, backup, and support.
You represent that you have the rights to the materials you submit and that Your Content does not infringe any third-party right or violate any law or any school policy. We may remove content or suspend access that we reasonably believe violates these Terms or the Acceptable Use Policy. We do not claim ownership of the academic work you write — it remains yours.
10. Intellectual property
The Service and all of its software, study guides, explainers, practice questions, templates, tools, designs, text, graphics, logos, and other content (other than Your Content), and all related intellectual-property rights, are owned by Course FPX LLC or our licensors (“Our IP”). These Terms grant you a license to use the Service, not any ownership of Our IP.
Except as expressly allowed by your license or by law, you may not copy, reproduce, distribute, republish, resell, sublicense, rent, lend, public-display, scrape, data-mine, frame, or create derivative works from the Service or its content; remove proprietary notices; or use the Service or its content to build, train, or supply a competing product or service. The CourseFPX name, logo, and brand are our marks; third-party marks (including “Capella,” “FlexPath,” and “FPX”) belong to their owners and are used nominatively only.
11. Third-party services
The Service relies on third-party providers — for example, our payment processor (Stripe), cloud hosting, email and SMS delivery providers, and video tools used for optional tutor sessions. We are not responsible for the acts, omissions, availability, or terms of third parties, and your use of their services may be subject to their own terms and policies. References to third-party courses, products, or marks (including Capella FlexPath / FPX) are descriptive only and are not endorsements or affiliations.
12. Warranties and disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT CONTENT (INCLUDING STUDY GUIDES, EXPLANATIONS, PRACTICE QUESTIONS, OR CITATIONS) IS COMPLETE, CURRENT, OR ERROR-FREE, OR THAT IT MATCHES ANY PARTICULAR COURSE, ASSIGNMENT, RUBRIC, OR INSTITUTION’S REQUIREMENTS.
COURSEFPX IS A STUDY AID ONLY. WE MAKE NO GUARANTEE OF ANY GRADE, SCORE, COMPLETION, PASSING, CREDENTIAL, ADMISSION, OR OTHER ACADEMIC OR CAREER OUTCOME. YOUR RESULTS DEPEND ON YOUR OWN WORK AND EFFORT. NOTHING IN THE SERVICE IS LEGAL, MEDICAL, CLINICAL, FINANCIAL, OR OTHER PROFESSIONAL ADVICE, AND COURSEFPX IS NOT AFFILIATED WITH, ENDORSED BY, OR SPONSORED BY CAPELLA UNIVERSITY OR ANY SCHOOL. 13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER Course FPX LLC NOR ITS MEMBERS, OFFICERS, PERSONNEL, OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, ACADEMIC STANDING, OR OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
14. Indemnification
You agree to indemnify and hold harmless Course FPX LLC and its members, officers, and personnel from any third-party claims, damages, and reasonable expenses (including legal fees) arising from your use or misuse of the Service, Your Content, your violation of these Terms or the Acceptable Use Policy, your violation of any school’s academic-integrity or other policies, or your violation of any law or third-party right.
15. Suspension and termination
You may stop using the Service and cancel your subscription at any time from your account. We may suspend or terminate your access, with or without notice, if you breach these Terms or the Acceptable Use Policy, if required by law or our payment or platform partners, or to protect the Service or other users. On termination, your license ends and you must stop using the Service; sections that by their nature should survive (including intellectual property, your content, disclaimers, limitation of liability, and indemnification) survive. Refunds, if any, are governed by our Refund & Cancellation Policy.
16. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws rules. The parties will attempt in good faith to resolve any dispute informally first. Any dispute not resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, and the parties consent to venue there. Nothing prevents either party from seeking injunctive relief to protect its intellectual property.
17. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date above reflects the latest version. Material changes will be posted on this page and, where appropriate, communicated to active subscribers. Your continued use of the Service after changes take effect constitutes acceptance.
18. General
These Terms, together with the policies referenced above, are the entire agreement between the parties regarding the Service and supersede prior agreements. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control (force majeure).
